TERMS OF SERVICE

1) Introduction & Agreement

These Terms of Service (“Terms”) form a legally binding agreement between STIMULUS AI LTD (“Company,” “we,” “us,” “our”) and you (“you,” “user”) regarding your access to and use of our AI-powered chat automation platform, websites, products, and services (the “Services”). By accessing or using the Services, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy.

We may update these Terms from time to time. The most current version will be posted at https://only-fans.ai/terms-service. Material changes will be announced in-app or by email. If you do not agree with updated Terms, you must stop using the Services.

2) Eligibility (18+)

Adults-only. You must be 18 years or older (or the age of majority in your jurisdiction, if higher) to use the Services. We do not knowingly allow minors to register or use the Services.

3) Service Description

The Services provide an AI-powered platform for OnlyFans creators and agencies that includes:

• AI Chat Automation: Automated direct-message responses trained on your conversation history and communication style, operating 24/7 on your behalf.
• Content Library Management: Upload, organize, tag, and price your photos and videos for automated delivery to subscribers.
• PPV & Sales Optimization: AI-driven pay-per-view pricing, upsell sequences, and behavior-based content recommendations.
• Conversation Stages: Configurable multi-step conversation flows that guide fan interactions from introduction to purchase.
• Analytics Dashboard: Revenue tracking, engagement metrics, conversion rates, and fan profiling across managed accounts.
• Agency Management: Multi-model dashboard for agencies managing multiple creator accounts from a single interface.

We are a B2B automation tool. We do not host or distribute content publicly. You are solely responsible for your OnlyFans account, the content you upload, and compliance with OnlyFans platform terms.

4) Accounts & Authentication

You may create an account using email/password or supported third-party authentication. You are responsible for safeguarding your account credentials and promptly notifying us of any unauthorized use. You must not share account access with unauthorized parties.

Agency accounts may have multiple operators. The agency owner is responsible for managing operator permissions and ensuring all operators comply with these Terms.

5) User Content & AI Processing

Chat History. You may import conversation history to train your personalized AI model. You must have proper authorization to import and process this data, including consent from any identifiable individuals whose messages are included.

Content Library. You may upload photos and videos to your content library for automated delivery. You must own or have valid licenses for all uploaded content. You are responsible for ensuring all content complies with applicable laws and OnlyFans platform terms.

AI-Generated Messages. The AI generates automated responses based on your trained model and configured rules. While the AI is designed to match your communication style, you remain responsible for all messages sent through the platform on your behalf. You should regularly review automated conversations for quality and compliance.

Data Isolation. Your AI model, chat history, and content library are strictly isolated from other accounts. We do not use your data to train models for other users or for general-purpose AI development.

6) Prohibited Content & Conduct

You must not upload, generate, or distribute any content that:

• depicts, involves, or suggests minors (or persons who appear to be minors);
• is non-consensual, exploitative, or involves trafficking, threats, or violence;
• uses the likeness of real persons without verifiable consent;
• violates intellectual property, privacy, or publicity rights;
• is illegal in your location or in the UK (our governing jurisdiction);
• violates OnlyFans platform terms or community guidelines;
• involves deceptive practices, spam, or harassment of subscribers.

We may remove content, suspend or terminate access, and report unlawful activity to authorities. We may implement automated and manual moderation to protect the Service.

7) Agency Responsibilities

If you use the Services as an agency managing creator accounts:

• You must have written authorization from each creator whose account you manage through the platform.
• You must ensure creators understand and consent to AI-automated messaging on their behalf.
• You are responsible for the actions of all operators under your agency account.
• You must comply with all applicable employment, contractor, and agency laws.
• You must maintain accurate records of creator authorizations and make them available upon request.

8) Payments & Subscriptions

If paid features or subscriptions are offered, billing will be handled by approved third-party payment providers. Prices are shown in the applicable currency; taxes may apply. You authorize recurring charges where subscriptions auto-renew until you cancel. Failed payments may result in suspension of premium features.

Revenue generated through OnlyFans via our automation tools belongs to you and the creators you manage. We do not take a percentage of your OnlyFans earnings unless explicitly stated in a separate agreement.

9) IP Rights & Licenses

Your Content. You retain ownership of your uploaded content, chat history, and configuration data. You grant us a non-exclusive, worldwide, royalty-free license to host, process, and transform this data solely to deliver the Services (AI training, automated messaging, analytics).

AI-Generated Messages. Messages generated by the AI on your behalf are considered your content. You are responsible for their use and distribution.

Our Materials. The platform, AI models (excluding your personalized training data), software, interfaces, and documentation are owned by us and our licensors. Except as expressly permitted, no rights are granted by implication or estoppel.

10) Safety & Reporting

If you suspect violations (e.g., minors, non-consensual content, abuse), stop using the Services and report immediately to [email protected]. We act on credible reports, including preservation of evidence and reporting to authorities where required.

11) Privacy

Your use of the Services is governed by our Privacy Policy (https://only-fans.ai/privacy). By using the Services, you consent to the data processing described therein, including AI training on your imported chat history and analytics processing.

12) Availability; Changes; Suspension

We may modify, suspend, or discontinue any part of the Services at any time (e.g., to comply with law, maintain security, or manage capacity). We will provide reasonable notice for material changes that affect your use. We may suspend or terminate your account for violations of these Terms or risk to the Services/users.

13) Third-Party Services & OnlyFans

The Services integrate with or rely on third-party platforms, including OnlyFans. We are not affiliated with, endorsed by, or officially connected to OnlyFans. Changes to OnlyFans platform terms, API access, or policies may affect the availability or functionality of our Services. We are not responsible for third-party service disruptions or policy changes.

14) Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED MESSAGES WILL BE ACCURATE, APPROPRIATE, OR EFFECTIVE IN ALL CIRCUMSTANCES. YOU ARE RESPONSIBLE FOR REVIEWING AND MONITORING AUTOMATED CONVERSATIONS.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY. THIS INCLUDES, WITHOUT LIMITATION, ANY LOSS OF ONLYFANS REVENUE, SUBSCRIBER LOSS, OR ACCOUNT SUSPENSION RESULTING FROM USE OF THE SERVICES.

IN ALL CASES, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US FOR THE SERVICES IN THE 6 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY, OR (B) USD $5,000. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS/LIMITATIONS; MANDATORY RIGHTS PREVAIL.

16) Indemnification

You will defend, indemnify, and hold us harmless from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (i) your content or AI-generated messages sent on your behalf; (ii) your breach of these Terms or law; (iii) your misuse of the Services; (iv) your violation of third-party rights; or (v) your violation of OnlyFans platform terms.

17) Governing Law; Venue; Mediation

These Terms are governed by the laws of England and Wales (conflict-of-laws rules excluded). The courts of London, UK shall have exclusive jurisdiction over disputes, provided that before commencing any claim, you agree to notify us and, at our request, participate in pre-suit mediation in good faith. If mandatory consumer laws in your place of residence require a different framework, those mandatory rules prevail to the minimum extent required.

18) Termination

You may stop using the Services at any time and request account deletion per our Privacy Policy. Upon account deletion, your trained AI model, imported chat history, and uploaded content will be permanently deleted. We may suspend or terminate your access for any breach, unlawful conduct, or risk to the Services/users. Upon termination, Sections 5–7, 9–11, 14–19 survive.

19) Miscellaneous

No waiver / severability. Failure to enforce is not a waiver. If any provision is unenforceable, the remainder stays in effect.

Assignment. You may not assign these Terms. We may assign or transfer our rights/obligations or delegate performance to third parties.

Entire agreement. These Terms and the Privacy Policy constitute the entire agreement regarding the Services and supersede prior agreements.

No agency. No partnership, agency, or employment relationship is created between us and you.

Notices. We may contact you via email, in-app notices, or your account contact details.
